Terms of Service — Protofac
1. Acceptance of Terms
By creating an account or using Protofac (available at protofac.ai), you agree to these Terms of Service. If you do not agree, do not use the service. Your continued use after any changes constitutes acceptance.
2. What Protofac Is
Protofac is an agentic AI development environment provided by Inctasoft OOD. You connect your own development machine, or we provision a sandboxed workspace for you, and an AI coding agent (powered by Claude from Anthropic) works on your behalf inside that workspace — reading and writing files, running shell commands, installing dependencies, and creating git commits and pull requests at your direction. Protofac is a developer tool: it does not guarantee the correctness, security, or fitness for any purpose of the code or commands it produces, and you remain responsible for reviewing them before use.
2A. Agent Authorization & Your Workspace
Protofac operates an autonomous AI agent that acts on your behalf inside a development workspace — a sandbox we provision for you, or a machine you connect over SSH. By using Protofac you authorize the agent to read and modify files, execute shell commands, install software, and create git commits and pull requests in that workspace at your direction. You are responsible for reviewing every action and output the agent produces before relying on it. Do not direct Protofac at systems, repositories, accounts, or data you are not authorized to access or change.
3. Eligibility
You must be at least 16 years old to use Protofac. Protofac is not directed at children under 13.
4. Account
Protofac uses Google Sign-In for authentication. You are responsible for all activity through your account and must notify us immediately of unauthorized access at office@inctasoft.com.
5. Plans and Billing
Free plan: Subject to daily usage limits which may change with notice.
Paid plans: Billed via Stripe on a recurring basis until cancelled. Cancel any time from account settings; effective at end of billing period. No partial refunds except where required by law.
Bring your own AI subscription: Protofac runs the AI agent using your own Anthropic (Claude) subscription and credits, which you authorize at sign-in. AI model usage is metered and billed by Anthropic to your account under your agreement with Anthropic — not by Inctasoft. Any fee you pay Inctasoft is for the Protofac platform (workspace provisioning, voice and mobile control, orchestration), and is separate from the cost of the underlying AI usage. You are responsible for your own Anthropic costs.
6. Acceptable Use
You agree not to use Protofac to violate applicable law, generate harmful content, scrape the service, impersonate others, circumvent usage limits, or damage our systems. We may suspend access for violations without notice.
Because Protofac gives you a compute workspace, you additionally agree not to use it for cryptocurrency mining, to scan or attack third-party systems, to host or distribute malware or illegal content, or to run sustained workloads unrelated to software development.
7. AI-Generated Content
AI responses may be inaccurate or incomplete. They are not professional, medical, legal, financial, or psychological advice. Always verify important information from authoritative sources.
8. Your Content
You retain ownership of content you submit. You grant Inctasoft a limited license to process it solely to provide the service. We do not use your content to train AI models or sell it to third parties.
9. Privacy
Our Privacy Policy explains how we collect, use, and protect your data and is incorporated into these Terms.
10. Third-Party Services
Protofac relies on Claude (Anthropic) for AI. It also integrates with GitHub (access to the repositories you authorize via OAuth) for features you explicitly enable. We additionally use Google Sign-In for authentication, Stripe for payments, and Cloudflare for infrastructure. Your use of these is also subject to their respective terms and policies.
11. Intellectual Property
The Protofac name, interface, and software are the intellectual property of Inctasoft. You may not copy, modify, or distribute any part without written permission.
12. Disclaimer of Warranties
Protofac is provided "AS IS" without warranties of any kind. We do not warrant uninterrupted, error-free, or secure operation.
13. Limitation of Liability
To the fullest extent permitted by law, Inctasoft shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the greater of the amount you paid us in the three months preceding a claim or €50.
14. Indemnification
You agree to indemnify Inctasoft from claims arising from your use of Protofac or violation of these Terms.
15. Termination
We may terminate or suspend access at any time. If terminated without cause, prepaid unused fees will be refunded pro-rata. You may delete your account from settings at any time.
16. Changes to These Terms
We may update these Terms. Material changes will be communicated by email or in-app notice. Continued use constitutes acceptance.
17. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Bulgaria. Disputes shall first be attempted informally; if unresolved, submitted to the competent courts of Sofia, Bulgaria. EU consumers may also use the EU Online Dispute Resolution platform.
